Zalora Merchant Agreement

10 Conditions and Termination (1) This Agreement shall enter into force as soon as the Seller signs the Contract or executes an order specified by ZALORA and remains valid indefinitely until terminated by either party. Termination may be made at any time with one month`s notice in writing, by e-mail, post or fax. Revenues generated during this notice period remain subject to the Articles of Association. The right to immediate termination by both parties for cause is not affected. (2) The right of immediate termination includes in particular the case where the seller repeatedly receives negative reviews and reviews on the website and these are not manifestly unjustified. Repeated provision of misleading information or retention of information necessary to present the seller`s items is also grounds for immediate termination. Typing errors, errors and transmission errors are excluded, unless they were caused intentionally or by gross negligence. 6. Brand and item exclusions apply as in support.zalora.com.my/hc/enus/articles/205323070-Brand-Exclusions and products sold by ZALORA partners are excluded. 1.Valid only on www.zalora.com.my/ZALORA mobile app and can be used for multiple transactions. 9 License (1) ZALORA has the right to freely maintain the Seller`s offer and its ranking on the Site. ZALORA offers customers the opportunity to give ratings and reviews of the Seller`s goods and services on the Website and has the right, but not the obligation, to publish them online and make them visible to all Customers.

ZALORA reserves the right to remove ratings and reviews. (2) ZALORA may scan, transcribe and publish online the offers, logos and other necessary documents of the Concessionaire. Merchant grants ZALORA a royalty-free, perpetual, unrestricted license to use and distribute the material it provides for the purpose of promoting the ZALORA Service. This includes in particular use in Google AdWords campaigns, domain name registrations and other online marketing and search engine optimization measures. 4 Commission (1) The Seller undertakes to pay ZALORA a fixed percentage of commission on the gross income from sales made via the ZALORA Platform. Depending on the category, it may be useful to agree on different commission percentages for certain items or product categories. (2) ZALORA may at any time charge additional fees for the sale of goods via the platform. These may include registration fees, fees for multiple photos, and extended marketing fees, among others. In case of introduction of other fees, the seller will be informed in writing before they start and has the possibility to unsubscribe. (3) ZALORA reserves the right to adjust the commission percentage, provided that the seller receives reasonable notice….
